MUTUAL NON-DISCLOSURE & CONFIDENTIALITY AGREEMENT

This Agreement is executed on this November 3, 2026 at Mumbai, Maharashtra,

BY AND BETWEEN:

DIGITAL DUNIA ENTERPRISES, having its principal place of business at Mumbai, Maharashtra (hereinafter referred to as the "First Party", which expression shall unless repugnant to the context include its successors and permitted assigns);

AND:

Apex Global Solutions Pvt Ltd, having its registered office at Bengaluru, Karnataka (hereinafter referred to as the "Second Party", which expression shall unless repugnant to the context include its successors and permitted assigns).

The First Party and Second Party are collectively referred to as the "Parties" and individually as a "Party".

1. Purpose and Consideration

The Parties wish to explore and enter into business discussions, technology implementations, or service engagements. In connection therewith, both Parties agree to the terms herein: Total contract value of ₹1,50,000 + GST payable in 3 milestone tranches.

2. Confidential Information Definition

“Confidential Information” means any and all proprietary information, software code, database structures, business leads, billing entries, financial data, and technical processes disclosed directly or indirectly by one Party to the other.

3. Non-Disclosure Obligations

The Receiving Party agrees to maintain the strictest confidentiality, to protect such information with at least reasonable care, and not to disclose such Confidential Information to any third party without prior written consent.

4. Governing Law and Dispute Resolution

This Agreement shall be construed, interpreted, and governed in accordance with the laws of the Republic of India. In the event of any dispute, the courts of competent jurisdiction located at Mumbai, Maharashtra shall have exclusive jurisdiction.
